Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Carrier," "Driver," or "Subscriber") and United Freight Network, Inc. ("UFN," "Company," "we"). By creating an account or accessing any part of our platform, you acknowledge you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are entering into this agreement on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

UFN is a technology-enabled logistics service network operating as a bridge platform connecting the following parties:

• UFN Dispatch: Load finding, broker negotiation, rate confirmation management, and paperwork coordination for motor carriers
• UFN Driver Hire: CDL driver recruitment and credential verification platform for motor carriers and fleets
• UFN Parts: Heavy-duty parts and supply sourcing network connecting carriers with verified suppliers

UFN is not a motor carrier, freight broker, employment agency, or parts manufacturer. We act solely as a technology intermediary facilitating connections between licensed parties.

3. Eligibility

You must be at least 18 years of age and legally authorized to do business in the United States to use UFN services. Carrier accounts must hold active FMCSA motor carrier authority. Driver accounts must hold a valid CDL in good standing.

4. Subscriptions and Billing

UFN services are provided on a subscription basis. By subscribing, you authorize UFN to charge the applicable subscription fee on a recurring weekly or monthly basis depending on your selected plan.

• All fees are in U.S. Dollars and are non-refundable except as required by law
• Subscriptions auto-renew unless cancelled at least 24 hours prior to the renewal date
• UFN reserves the right to modify pricing with 30 days advance written notice
• Failed payments may result in immediate suspension of service access

5. User Responsibilities and Conduct

You agree to:

• Provide accurate, current, and complete information during registration and throughout your use of the platform
• Maintain the confidentiality of your account credentials
• Maintain all required federal and state operating authorities, licenses, and insurance
• Comply with FMCSA regulations, DOT requirements, and all applicable federal, state, and local laws
• Not engage in fraudulent, deceptive, or abusive conduct on the platform
• Not attempt to reverse-engineer, scrape, or circumvent platform security

6. Carrier and Driver Responsibilities

UFN facilitates connections but bears no liability for the following, which remain solely the responsibility of carriers and drivers:

• Cargo safety, delivery accuracy, and compliance with load specifications
• Hours of Service (HOS) compliance and ELD mandate adherence
• Vehicle maintenance and federal safety inspection requirements
• Driver qualification file maintenance and drug/alcohol testing
• Freight damage, cargo loss, or delay claims

7. Intellectual Property

All content, trademarks, logos, software, and intellectual property on the UFN platform are owned by United Freight Network, Inc. and are protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, or create derivative works without express written consent from UFN.

8. Disclaimer of Warranties

THE UFN PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. UFN DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITED FREIGHT NETWORK, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL UFN'S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO UFN IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Chicago, Illinois, except that either party may seek injunctive relief in court for intellectual property violations.

11. Termination

UFN reserves the right to suspend or terminate your account at any time, with or without cause, with notice where reasonably practicable. Upon termination, your license to use the platform ceases immediately.
